Outbound Direct Investment

Going global is more than
incorporating overseas

ODI requires an integrated view of domestic corporate approvals, project authenticity, filing or approval, a Hong Kong platform where relevant, bank and foreign-exchange processes, tax, and post-investment management—while connecting business arrangements with the entrepreneur family's long-term security.

Framework

A clear ODI pathway generally has four stages

Procedures differ according to the investor, sector, destination, amount and transaction structure. Every project must be assessed on its own facts.

Project and decision

Define the commercial objective, target, ownership structure, funding scale, ultimate beneficial owners and internal corporate approvals.

Development and commerce authorities

Determine whether filing or approval applies and prepare evidence of authenticity, compliance and feasibility.

Bank and foreign exchange

After applicable government procedures, the bank independently handles the relevant steps under customer due diligence, anti-money-laundering and foreign-exchange rules.

Post-investment and repatriation

Continue reviewing overseas governance, tax filings, profit distributions, reinvestment and lawful repatriation of funds.

FAQ

Separate these common misconceptions before launch

Does every overseas investment only require a filing?

No. The current framework distinguishes approval, filing, reporting and other requirements according to the investor, implementation route, destination, sector, amount and whether a sensitive factor is involved.

Once government documents are obtained, can funds definitely be remitted?

No. Government filing or approval and the bank's foreign-exchange process are separate stages. The bank still reviews transaction background, source of funds and project materials.

Does establishing a Hong Kong company complete ODI?

No. Overseas incorporation and Mainland China's outbound-investment administration are separate matters. A Hong Kong platform should serve genuine business needs and is not a mandatory route for every project.

Has personal ODI been fully liberalised?

No. State Council Order No. 837 contains a general definition covering resident individuals, but detailed administration still requires supporting rules. This page concerns Mainland Chinese enterprise projects.

Project boundary: SHINE FAMILY provides general information, project coordination and access to qualified professional support. We do not promise filing, approval, account opening, currency conversion, outward remittance or investment results. Every funding arrangement must be based on a genuine transaction, lawful source of funds and applicable regulatory requirements.
